The SEC’s corporate governance procedures are supposed to be so stringent that a company would have to provide shareholders with a resolution if it were to conclude that its board lacks a sufficiently independent board chair or management. If the SEC’s rules were being followed, RSOI might have been compelled to reveal that it did not have such a resolution.
The SEC’s willingness to pursue the recent hedge fund caper is unusual. In a typical case, the watchdog has taken a hands-off approach to corporate governance failures, relying on companies to voluntarily disclose or file a corporate governance report. The regulator’s corporate governance guidelines are generally narrow in scope, and specifically prohibit it from intervening in such a manner in any case that does not involve fraud.
